Terms of Service
Operator: First Taste Ventures Ltd.
Applies to the Dinary mobile application, website, waitlist, beta programs, and related services (the “Service”).

These Terms form a binding agreement between you and First Taste Ventures Ltd. By accessing or using the Service, creating an account, or clicking to accept, you agree to these Terms and the policies incorporated by reference. If you do not agree, do not use the Service.
1. Eligibility and authority
You must be at least 13 years old. If you are under the age of majority where you live, you represent that a parent or legal guardian has reviewed and agreed to these Terms where required. You may not use the Service if prohibited by law or previously suspended without written permission.
If you use the Service for a business, restaurant, or organization, you represent that you have authority to bind it, and “you” includes that entity.
2. Accounts and security
- Provide accurate information and keep it current.
- Protect credentials and promptly report suspected compromise.
- You are responsible for activity under your account except to the extent caused by Dinary.
- We may reclaim usernames that are misleading, infringing, inactive, or needed to protect Dinary or others.
- One person or entity may not create accounts to evade enforcement, manipulate ratings, rewards, or promotions, or impersonate another person.
3. The Service and beta status
Dinary provides social food journaling, dish and venue discovery, ratings, and related features. Features may be experimental, personalized, geographically limited, invite-only, modified, suspended, or discontinued. Availability, rankings, and content differ by user and region.
Beta features may contain errors, lose data, or change without notice. Do not rely on the Service as the sole repository for important content. Separate Beta Terms apply while designated beta features are offered.
4. Acceptable use
You will comply with law, these Terms, and the Community Guidelines. You may not:
- Post unlawful, infringing, deceptive, hateful, harassing, sexually exploitative, violent, dangerous, private, or irrelevant content.
- Submit fake reviews, undisclosed paid endorsements, coordinated ratings, spam, or content based on an experience that did not occur.
- Scrape, crawl, copy at scale, reverse engineer, bypass access controls, probe security, introduce malware, overload systems, or use automated means without written permission.
- Use the Service to train or benchmark a competing model, build a competing database, or commercially exploit Dinary content except through an authorized API or written agreement.
- Impersonate others, misrepresent affiliation, collect personal information without authority, or expose another person’s private information.
- Interfere with moderation, reporting, account deletion, advertising disclosures, contest administration, or platform integrity.
5. User content and ownership
“User Content” means photographs, captions, reviews, ratings, comments, profile material, feedback, and other content you submit. As between you and Dinary, you retain any ownership rights you have. You are responsible for User Content and represent that you have all rights and permissions needed to submit it, including permissions from identifiable people where required.
When you submit User Content, you grant Dinary a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable licence to host, store, reproduce, adapt, translate, format, publish, publicly perform, publicly display, distribute, communicate, and create derivative works from that content solely to operate, secure, improve, personalize, promote, and provide the Service and related Dinary products and authorized partnerships. The licence includes using content in feeds, search, venue pages, marketing for Dinary, moderation, accessibility, technical processing, and feature development.
The licence lasts until the content is deleted from active systems, except that: content shared with others may remain in their lawful copies; Dinary may retain restricted copies for legal, safety, backup, and enforcement purposes; and aggregated or genuinely de-identified outputs may be retained. This section does not authorize Dinary to keep deleted, identifiable photos publicly displayed solely to avoid a reduction in content volume.
You waive, and agree not to assert, moral rights only to the limited extent permitted by law and necessary for the licensed uses. Dinary will not sell ownership of your User Content. Separate terms and compensation will apply if Dinary seeks rights materially beyond this licence for a specific commercial campaign.
6. Content moderation and reports
Dinary may review, label, limit distribution of, remove, preserve, or disclose content, and may warn, restrict, suspend, or terminate accounts, when reasonably necessary to operate the Service, enforce rules, address risk, or comply with law. Dinary is not required to monitor all content and does not endorse User Content.
Users may report content and block abusive users through available tools. Enforcement decisions may consider context, severity, repetition, legal obligations, and system integrity. An appeal channel may be offered but is not guaranteed unless required by law.
7. Ratings, recommendations, AI, and restaurant information
Ratings, rankings, recommendations, tags, images, hours, prices, menus, dietary labels, availability, and AI outputs may be incomplete, subjective, outdated, or wrong. Verify material information directly with the restaurant or provider.
Dinary does not provide medical, nutritional, allergy, food-safety, or professional advice. Never rely on the Service to determine whether food is safe for an allergy, intolerance, pregnancy, medical condition, or dietary restriction.
Personalized or automated recommendations are probabilistic and may use your activity, location choice, and content signals. You remain responsible for decisions and transactions.
8. Third-party services and transactions
The Service may link to or integrate maps, places data, authentication, reservations, delivery, restaurants, creators, merchants, payment processors, app stores, advertisements, and other third parties. Dinary does not control independent third parties and is not responsible for their content, availability, privacy, pricing, fulfilment, or conduct.
A transaction may be directly between you and a third party. Additional terms, fees, taxes, refund policies, and eligibility rules may apply. Dinary is not the seller, restaurant, delivery provider, or payment processor unless expressly stated at checkout.
9. Future commercial features
Dinary may introduce subscriptions, premium features, advertising, sponsored placements, affiliate links, creator tools, restaurant dashboards, APIs, marketplace or reservation features, rewards, and partnerships. New material terms will be disclosed before they bind you. Sponsored or paid content will be identified as required by law.
Dinary may change prices prospectively. App-store billing and cancellation rules apply to in-app purchases. Except where law requires otherwise, fees are non-refundable once the relevant service is provided.
10. Rewards, contests, and promotions
Rewards, badges, points, coupons, and promotions have no cash value and create no property right unless specific rules say otherwise. They may expire, be limited, corrected, suspended, or discontinued. Fraud, abuse, mistake, or rule violations may void them.
Each sweepstakes or contest will have official rules stating eligibility, territory, entry period, prizes, odds or factors affecting chances, selection method, and other legally required disclosures. The Rewards, Promotions & Sweepstakes Terms apply in addition to those rules.
11. Dinary intellectual property
The Service, software, interface, designs, compilation, ranking systems, trademarks, logos, and Dinary-created content are owned by or licensed to Dinary and protected by law. Subject to these Terms, Dinary grants you a limited, personal, revocable, non-exclusive, non-transferable licence to use the Service for its intended purpose.
Feedback may be used without restriction or compensation, provided Dinary does not identify you publicly as its source without permission.
12. Copyright and other rights
Dinary responds to sufficiently detailed notices of claimed infringement and may remove content or terminate repeat infringers. Procedures appear in the Content & Copyright Policy. Knowingly false notices may create liability.
13. Privacy
The Privacy Policy explains Dinary’s personal-information practices. Device permissions do not replace privacy consent, and these Terms do not authorize processing prohibited by law or app-store policy.
14. Suspension, termination, and deletion
You may stop using the Service and request account deletion through available in-app settings or the web method identified by Dinary. Deactivation is not deletion.
Dinary may restrict or terminate access for breach, risk, legal requirements, prolonged inactivity, discontinuation, or conduct harmful to the Service or others. Where appropriate, Dinary may provide notice and an opportunity to appeal.
After termination, provisions that by nature should survive do survive, including accrued payment obligations, ownership, limited retained-content rights, disclaimers, indemnity, liability limits, dispute terms, and general provisions.
15. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” DINARY DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT. DINARY DOES NOT WARRANT UNINTERRUPTED, SECURE, ERROR-FREE, OR ACCURATE OPERATION.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded, including applicable consumer-protection rights.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINARY AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITIES, ARISING FROM THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF CAD $100 AND THE AMOUNT YOU PAID DINARY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT.
These limits do not apply where prohibited, or to liability that cannot lawfully be limited.
17. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless Dinary and its personnel from third-party claims, losses, and reasonable costs arising from your unlawful use, User Content, transactions, or material breach of these Terms. Dinary will provide reasonable notice and control of the defence, and you may not settle a claim imposing liability or admissions on Dinary without consent.
18. Governing law and disputes
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict rules. The courts located in Toronto, Ontario have exclusive jurisdiction, except that either party may seek urgent injunctive relief in any competent court and consumers retain any non-waivable right to bring a claim elsewhere.
Before filing a claim, the parties will try in good faith for 30 days to resolve it after written notice to founder@dinary.net. No mandatory arbitration or class-action waiver is imposed by this Version 1.0 without Canadian legal review.
19. General terms
- Dinary may update these Terms prospectively. Material changes will receive notice, and additional consent will be obtained where required.
- If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder remains effective.
- Failure to enforce is not a waiver. You may not assign your rights without consent; Dinary may assign these Terms in a reorganization, financing, merger, or sale.
- Neither party is liable for delay caused by events beyond reasonable control, except payment obligations.
- These Terms and incorporated policies are the entire agreement regarding the Service and supersede prior agreements on that subject.
- Headings aid reading only. “Including” means “including without limitation.” Electronic notices and acceptance are valid to the extent permitted by law.
